Terms of Service

By accessing or using REDA ("Real Estate Deal Analyzer," "Service") — a service operated by Michaelson Group LLC (502 W 7th Street, Suite 100, Erie, PA 16502) ("REDA," "we," "us," or "our") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of the updated Terms.

THE SERVICE IS CURRENTLY IN A BETA / EVALUATION PHASE.

The Service is provided strictly on an "AS-IS" and "AS-AVAILABLE" basis, completely free of charge. During the Beta phase:

• There are no service-level agreements (SLAs) and no guarantee of uptime, availability, performance, or support.
• Features, data, and the Service itself may be modified, suspended, limited, or permanently deleted at our sole discretion and without notice.
• Continued provision of the Beta is not guaranteed, and we may discontinue the Service at any time.
• You should not rely on the Service for the storage of data you cannot afford to lose, and you are responsible for maintaining your own copies of any important information.

REDA is a web-based real estate investment analysis platform that provides financial calculations, market data, and AI-powered analysis for real estate deals including Fix & Flip and BRRRR (Buy, Rehab, Rent, Refinance, Repeat) investment strategies. The Service integrates with third-party data providers and artificial intelligence to generate deal reports and investment insights.

The Service also includes the following features:

• Offers Hub: An offer-pipeline tracker for logging offers, managing negotiation stages, and scheduling property visits.
• Appointment Scheduling & Google Calendar Sync: Scheduling property inspections, realtor visits, and closings, with optional sync to your Google Calendar account.
• Contractor Portal & Bids: A messaging interface for coordinating with contractors, sharing photos and voice notes, submitting draw requests, and requesting and comparing contractor bids.
• Deal & Report Sharing: Generating read-only, tokenized snapshots of deal analyses or rehab reports that can be shared with agents, partners, or investors.
• Outreach Emails: Composing and sending offer letters and deal-summary emails to agents, partners, or other recipients from within the platform.

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY.

REDA does not provide financial, investment, legal, tax, or real estate brokerage advice. The analyses, reports, projections, and AI-generated insights provided by the Service are tools to assist your own decision-making process and are not a substitute for professional advice.

• REDA is not a registered investment advisor, financial planner, real estate broker, or attorney.
• No fiduciary relationship is created between REDA and any user.
• All investment decisions are made solely by the user at their own risk.
• You should always consult with qualified professionals (licensed real estate agents, CPAs, attorneys, and financial advisors) before making any real estate investment decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• REDA, ITS OWNERS, OPERATORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF INVESTMENT, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
• IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO REDA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. BECAUSE THE SERVICE IS CURRENTLY PROVIDED FREE OF CHARGE DURING THE BETA PHASE, THIS AMOUNT WILL TYPICALLY BE ONE HUNDRED DOLLARS ($100).
• REDA IS NOT RESPONSIBLE FOR ANY REAL ESTATE INVESTMENT DECISIONS YOU MAKE BASED ON INFORMATION OR ANALYSIS PROVIDED BY THE SERVICE. IF YOU PURCHASE, SELL, OR INVEST IN REAL ESTATE BASED ON REDA'S OUTPUT AND SUFFER FINANCIAL LOSS, REDA BEARS NO LIABILITY.
• REDA'S CALCULATED FIGURES — INCLUDING ANY MAXIMUM ALLOWABLE OFFER (MAO), SUGGESTED OFFER PRICE, ARV, OR PROJECTION — ARE ESTIMATES DERIVED FROM THE INPUTS YOU PROVIDE AND ARE NOT A RECOMMENDATION OF WHAT TO OFFER OR PAY. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING ANY OFFER OR PURCHASE PRICE.

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must provide accurate and complete information when creating an account.
• You must be at least 18 years old to use the Service.
• You may not share your account with others or create multiple accounts.

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Provide the Service to third parties on a commercial basis (reselling).
• Scrape, crawl, or use automated means to access the Service beyond normal usage.
• Attempt to gain unauthorized access to our systems or third-party services.
• Interfere with or disrupt the integrity or performance of the Service.
• Misrepresent REDA's output as professional financial or legal advice to third parties.

The Service allows you to generate tokenized, read-only links to deal analyses and rehab reports that can be viewed by anyone with the link, without requiring a REDA account.

• You are solely responsible for deciding who receives shared links and for revoking access by deleting the underlying deal if needed.
• Shared snapshots reflect the state of the deal at the time of generation. REDA does not automatically update shared views when you modify deal data.
• You must not use deal-sharing to misrepresent financial projections as professional advice or as guarantees of investment performance.
• REDA is not liable for any consequences arising from your distribution of shared deal links to third parties.

REDA enables you to compose and send offer letters and deal summaries to recipient email addresses you provide. The Service analyzes United States real estate, but the operator and some Beta testers are based in Israel; accordingly, outreach emails must comply with the anti-spam law applicable to each recipient. By using this feature:

• You confirm that you have a legitimate basis (existing business relationship, prior consent, or applicable law) to contact each recipient.
• You agree not to use the email feature for unsolicited bulk email (spam). For recipients in the United States, you agree to comply with the CAN-SPAM Act (and any other applicable U.S. anti-spam laws). For recipients in Israel, you agree to comply with Israel's anti-spam law (Amendment No. 40 to the Communications Law (Telecommunications and Broadcasts), 1982), including its prior-consent and opt-out requirements. You also agree to comply with any other anti-spam law applicable to a given recipient.
• REDA sends emails on your behalf and is not responsible for the content of messages you compose or for recipient responses.
• Every outreach and bid email includes the operator's physical postal address, a one-click unsubscribe link, and an unsubscribe header. A recipient may unsubscribe from your emails specifically or from all emails sent through REDA; when a recipient unsubscribes, REDA will block the corresponding further emails to that recipient. You agree not to attempt to circumvent these opt-outs, and you remain responsible for honoring any unsubscribe or do-not-contact request you receive by other means.

You may delete your account and request an export of your data at any time by contacting us at info@redainvest.com. You may also delete individual deals and records directly within the app. Upon account deletion, your data is handled in accordance with our Privacy Policy, including the data retention and backup terms described there.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Limitation of Liability, Intellectual Property, and Indemnification) shall survive.

You agree to indemnify, defend, and hold harmless REDA, its owners, operators, officers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy of any financial calculations, market data, AI analysis, or projections.

These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in the State of Pennsylvania, USA. You waive any right to a jury trial or to participate in a class action lawsuit.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
